Alexandr heads the Corporate and M&A practice of Centil in Kazakhstan.

He advises strategic investors, financial institutions and multinational corporations on M&A transactions, joint ventures, foreign investments structuring and corporate restructurings. He acts as Kazakhstani counsel on a number of the most significant cross-border transactions in the region, including deals involving global technology platforms, industrial groups and state-owned corporations.

EXPERIENCE

  • Advised DoorDash on Kazakhstani law aspects of its $8.1 billion acquisition of Wolt Enterprises, including legal due diligence of local assets
  • Advised on Kazakhstani law aspects of the Mars and Wrigley merger, including restructuring of local operating companies and implementation of post-closing integration measures
  • Advised Stadler Rail on the establishment of a joint venture with Kazakhstan Temir Zholy JSC for the localisation of passenger rolling stock production
  • Advised an investment bank on the IPO of a Kazakhstani metallurgical producer, involving a dual listing on the Hong Kong Stock Exchange (HKEX) and the Astana International Exchange (AIX)
  • Advised a Chinese state-owned corporation on the acquisition of a controlling stake in Allur Group, Kazakhstan's leading automotive manufacturer and distributor, including negotiation and drafting of the share purchase agreement and joint venture agreement
  • Acted for Kazakhstan's largest bank on two consecutive technology acquisitions: an AI-powered biometric identification platform and a national online education platform with millions of active users
  • Advised NatPower on the structuring and execution of a series of renewable energy acquisitions in Kazakhstan
  • Represented Avito on the acquisition of a Kazakhstani IT start-up under AIFC law, including transaction structuring, drafting of the share purchase and option agreements, and legal due diligence
  • Advised Tatneft on the acquisition of a subsoil user holding exploration and production rights over a significant tungsten deposit in Kazakhstan
  • Advised an international oil company on the redomiciliation of its holding structure from Cyprus to the AIFC, including corporate migration and engagement with AIFC regulatory authorities
  • Advised UBM Group, a leading European feed and agricultural commodities company, on its entry into the Kazakh market and the development of a premix manufacturing facility in Kazakhstan
