EXPERIENCE

  • Conducting due diligence in favour of a major yeast manufacturer in connection with its contemplated acquisition of a local yeast producer. The due diligence covered corporate good standing, compliance with labour law, risks arising from the target's disputes, title to its immovable and movable assets, and environmental compliance
  • Advising a consortium of investors on the data protection issues arising in connection with their contemplated acquisition of a major e-commerce platform in Uzbekistan, including the processing of personal data and compliance with Uzbek data localisation requirements
  • Advising a PRC automotive manufacturer on data protection compliance in Uzbekistan, including a review of its privacy documents and advice on the applicability of data protection rules to its in-vehicle applications
  • Advising an international basalt producer in connection with its contemplated acquisition of a factory in Uzbekistan, including legal due diligence on the target, the drafting and negotiation of the sale and purchase agreements, and a telecom infrastructure access agreement to secure the purchaser's access to the relevant facilities during the closing period
  • Advising a major foreign crypto-asset platform on the data protection aspects of launching its services in Uzbekistan, including data localisation requirements, the applicable rules and principles, and the transfer of data to third parties
  • Advising one of the largest PRC payment service providers on the structuring of its payment services in connection with the introduction of certain services in Uzbekistan, including in relation to payment services and data processing rules
  • Advising one of the leading telecommunications operators on the establishment of a joint venture with a local carrier, including the structuring of the transaction, the drafting of the investment agreement and the regulatory aspects of the telecommunications sector in Uzbekistan
